Guest Trainer Application

In consideration of being allowed to participate in any way in Studio Sweat, LLC's ("Studio Sweat" or "Studio SWEAT onDemand") programs, activities, and related events, the undersigned acknowledges and agrees that:

1. The risk of injury from the activities involved in Studio Sweat spinning and training programs is significant, including the potential for serious injury, permanent paralysis, and/or death. I knowingly and freely assume all such risks, both known and unknown, even if arising from the negligence of the releasees or others, and assume full responsibility for my participation.
2. I understand that it is my responsibility to consult with a physician prior to and regarding my participation in any of Studio Sweat's programs. I represent and warrant that I am sufficiently physically fit to participate in the Studio Sweat program in which I intend to participate.
3. I agree that if I observe any unexpected hazard during my presence or participation, I will remove myself from participation and bring such hazard to the attention of the nearest Studio Sweat instructor immediately.
4. I, for myself and on behalf of my heirs, assigns, personal representatives, and next of kin, hereby release and hold harmless Studio Sweat, its directors, officers, agents, employees, volunteers, other participants, sponsoring agencies, sponsors, advertisers, and the owners and lessors of premises used to conduct the program ("Releasees"), with respect to any and all injury, disability, death, and/or loss or damage to personal property, whether arising from the negligence of the releasees or otherwise, to the fullest extent permitted by law.
5. If any provision of this agreement is held in whole or part to be unenforceable for any reason, the remainder of that provision and of the entire agreement will be severable and remain in effect.

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I, the undersigned, agree as follows:

1. I agree to be photographed, recorded and/or videotaped by Studio Sweat LLC and/or its agents ("Company") in connection with my participation in Studio Sweat LLC's fitness classes.
2. I hereby irrevocably authorize Company and its affiliates to copyright, publish, reproduce, exhibit, transmit, broadcast, televise, digitize, display, print, otherwise use, and permit others to use, (a) my name, image, likeness, and voice, without restriction as to changes or transformations in conjunction with my own or a fictitious name, or reproduction hereof in color or otherwise, regardless of whether composite or distorted in character or form and (b) all photographs, recordings, videotapes, films, and/or audiovisual materials in which I may be included (collectively, the "Materials"), in any manner, form, or format whatsoever now or hereafter created, including distribution over the Internet, and for any purpose, including, but not limited to, advertising or promotion of Company, its affiliates, or their services, without further consent, examination, and/or approval from or payment to me.
3. I understand and agree that all of the materials I participate in or send to Studio SWEAT LLC become the sole property of Company, and I will not be paid for any participation or distribution of materials I submit to or participate in for Studio SWEAT LLC. It is voluntary only. I agree not to contest the rights or authority granted to Company hereunder. I hereby forever release and discharge Company, its employees, licensees, agents, successors, and assigns from any claims, actions, damages, liabilities, costs, or demands whatsoever arising by reason of defamation, invasion of privacy, right of publicity, copyright infringement, or any other personal or property rights from or related to any use of the Materials. I understand that Company is under no obligation to use the Materials, but can use them in any capacity they choose.
4. This document contains the entire agreement between the Company and the undersigned concerning the subject matter hereof.
